terms of service

1. agreement to terms

these terms of service ("terms") are a binding agreement between you and sproutful llc ("sproutful," "we," "us," or "our"), a limited liability company located at 39 mill plain rd, danbury, ct 06811-5191, united states. by downloading, accessing, or using the sproutful application, website, or related services (collectively, the "service"), you agree to these terms. if you do not agree, do not use the service.

2. eligibility

you must be at least 13 years old (or the minimum age of digital consent in your country) to use the service. if you are under 18, you represent that you have your parent or guardian's permission to use the service. by using the service, you represent and warrant that you meet these requirements.

3. the service

sproutful provides wellness and self-reflection tools, which may include journaling (text, audio, and video), guided mind and breathing exercises, calming sounds, ai-assisted conversational features, mood tracking, and related content. the service is intended for personal wellness, relaxation, and self-improvement purposes only.

the service is not a medical device and does not provide medical, psychological, or mental-health advice, diagnosis, or treatment. it is not a substitute for professional care. if you are experiencing a crisis or medical emergency, contact your local emergency services or a qualified professional immediately. never disregard professional advice or delay seeking it because of something you encountered in the service.

4. accounts

to use certain features you may create an account using sign in with apple, google, or another supported method. you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. you agree to provide accurate information and to notify us promptly of any unauthorized use. you may delete your account at any time from within the app.

5. subscriptions, purchases, and billing

certain features require a paid subscription ("premium"). subscriptions are sold and billed through the apple app store and are subject to apple's terms.

• billing: payment is charged to your apple id account at confirmation of purchase.
• auto-renewal: subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. your account is charged for renewal within 24 hours before the end of the current period.
• managing and canceling: you can manage or cancel your subscription in your apple id account settings. canceling stops future renewals but does not retroactively refund the current period.
• free trials: if a free trial is offered, any unused portion is forfeited when you purchase a subscription.
• refunds: purchases are handled by apple, and refunds are subject to apple's policies. we generally do not control or issue refunds for app store purchases.
• price changes: we may change subscription prices. changes apply to future billing periods and, where required, we will notify you in advance.

6. license and acceptable use

we grant you a limited, non-exclusive, non-transferable, revocable license to use the service for your personal, non-commercial use. you agree not to:

• copy, modify, distribute, sell, or lease any part of the service;
• reverse engineer or attempt to extract the source code, except as permitted by law;
• use the service in any unlawful, harmful, or abusive manner;
• interfere with or disrupt the service or its infrastructure;
• use automated systems to access the service in a way that sends more requests than a human could reasonably produce;
• upload content that is illegal, infringing, or harmful, or that you do not have the right to share.

7. your content

you retain ownership of the journal entries, recordings, and other content you create in the service ("your content"). you grant us a limited license to host, store, process, and display your content solely to operate and provide the service to you (for example, syncing your entries across devices and enabling features you request). we do not claim ownership of your content and do not sell it. you are solely responsible for your content and for keeping your own backups where appropriate.

8. ai features

the service may include ai-assisted features (such as conversational voice agents or generated guidance). ai output may be inaccurate, incomplete, or inappropriate and should not be relied upon as factual, professional, or medical advice. you use ai features at your own discretion and risk.

9. intellectual property

the service, including its software, design, text, graphics, audio, and branding (excluding your content), is owned by sproutful or its licensors and is protected by intellectual property laws. these terms do not grant you any rights to our trademarks or branding.

10. third-party services

the service relies on third-party providers (such as apple, google, and our cloud and infrastructure vendors). your use of those services may be subject to their own terms and privacy policies. we are not responsible for third-party services.

11. termination

we may suspend or terminate your access to the service at any time if you violate these terms or if we discontinue the service. you may stop using the service and delete your account at any time. sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute terms) will survive.

12. disclaimers

the service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. we do not warrant that the service will be uninterrupted, secure, or error-free, or that any content is accurate or reliable.

13. limitation of liability

to the maximum extent permitted by law, sproutful llc and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of the service. our total liability for any claim relating to the service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim or (b) fifty u.s. dollars ($50). some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. indemnification

you agree to indemnify and hold harmless sproutful llc from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the service, your content, or your violation of these terms.

15. governing law and disputes

these terms are governed by the laws of the state of connecticut, united states, without regard to its conflict-of-laws rules. you agree that any dispute will be resolved in the state or federal courts located in connecticut, and you consent to their jurisdiction, except where applicable law provides otherwise.

16. changes to these terms

we may update these terms from time to time. if we make material changes, we will update the effective date and, where appropriate, provide additional notice. your continued use of the service after changes take effect constitutes acceptance of the updated terms.
